Terms of Service

Last updated: October 10, 2026

1. Website, workspace and services

Silver Owl Studio LLC operates this website. The website terms cover browsing and use of its content. These service terms describe our project relationships and SMS support program.

Silver Owl (“Studio”, “we”, “us”) provides software development services to clients (“Client”) on a project basis. All services are governed by a separate written project agreement signed by both parties prior to commencement of work.

Our work may include a website, the Silver Owl Workspace, AI-assisted workflows, or managed infrastructure. Workspace pages describe a proposed product and examples of scoped solutions; a preview is not a promise that every feature, integration, or channel is available. The written agreement identifies what is included in your delivery and the checks required before use.

2. Project agreements

Each project is governed by a written Project Specification and Agreement that defines scope, deliverables, timeline, and price. Work begins only after the Agreement is signed and the deposit is received. Changes to scope require a written Change Order agreed by both parties before additional work is undertaken.

3. Payment terms

Payment terms are specified in the Project Agreement. Default terms are 50% deposit on contract signing and 50% on delivery. Invoices are due within 14 days. Work may be paused on overdue invoices after written notice.

4. Intellectual property

Upon receipt of full payment, all custom code written by Silver Owl for the Client's project is assigned to the Client. The Client owns all deliverables upon final payment. The Studio retains the right to use general methodologies, frameworks, and non-proprietary techniques learned during engagements.

Third-party libraries, frameworks, and tools incorporated into the work are subject to their respective licenses. Silver Owl will identify any material third-party components in the project documentation.

5. Bug warranty

Silver Owl provides a warranty period as specified in the Project Agreement (typically 30 or 60 days from delivery). During the warranty period, Silver Owl will fix bugs in the delivered code at no additional charge. The warranty does not cover issues arising from changes made by the Client or third parties, new feature requests, third-party service failures, or infrastructure issues outside the delivered code.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. Silver Owl will not disclose Client's proprietary information to third parties without written consent. This obligation does not apply to information that is publicly available, was previously known, or must be disclosed by law.

7. Limitation of liability

Silver Owl's liability for any claim arising from services is limited to the total amount paid for the specific project giving rise to the claim. Silver Owl is not liable for indirect, consequential, or incidental damages including lost profits, lost data, or business interruption.

8. Cancellation

Either party may cancel the project by written notice. If the Client cancels before work begins, the deposit is refunded minus a $250 scoping fee. If the Client cancels after work has begun, payment is due for all completed milestones. The Client retains all completed, working deliverables.

9. Governing law

These terms are governed by the laws of the jurisdiction of Silver Owl's principal place of business. Disputes will first be addressed through good-faith negotiation.

10. SMS support program

Program: Silver Owl Support, operated by Silver Owl Studio LLC, provides customer support by text message at +1 (681) 441-3286.

How you opt in: you start the conversation by texting our support number. By texting us, you agree to receive text replies from Silver Owl Studio LLC about your question or support request. We only reply to conversations you start; we do not send marketing or promotional texts. Consent to receive text messages is not a condition of any purchase.

Message frequency varies based on your conversation. Message and data rates may apply.

Opt out: reply STOP at any time to stop receiving messages. You will receive one confirmation and no further messages unless you text us again. Help: reply HELP, or email hello@silverowl.dev.

Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle mobile information.

11. Workspace access and connected services

If workspace access is included in your agreement, use only the account and permissions assigned to you. Keep sign-in details private and contact us if you suspect unauthorized access. Do not attempt to bypass access controls or connect accounts, documents, or data you do not have permission to use.

The agreed scope identifies enabled areas, user roles, connections and support responsibilities. A connection to an external service does not give you permission to use another person's account or content. That service's own terms, availability and charges may also apply.

12. AI assistance and human approval

Where included, AI may help with research, summaries, drafts and agreed routine tasks. Outputs can be incomplete, incorrect or unsupported, even when they include a source. Check the original evidence and review the result before relying on it, sharing it, or taking action.

The agreed workflow must identify which tasks may run automatically, which need a person's approval, and who is responsible for that approval. A draft or recommendation does not authorize a payment, publication, customer message, account change or other consequential action. Approval requirements belong in the implemented workflow as well as the operating instructions.

Use only data approved for the specific workflow. Before confidential or personal information is connected, confirm the providers, access permissions, processing locations, retention and any model-training use applicable to that setup. A privately hosted model can still send information outside its environment through an enabled tool or external service. These descriptions do not grant permission to reuse your information for model training or override our confidentiality or privacy commitments.

13. Finance, purchasing and professional review

Finance and purchasing are part of the workspace development scope. If included in a delivered workspace, their intended role is to support management records, supplier bills and review of business activity. Inclusion, access, connections and approval rules must be confirmed for your project. A preview does not establish that these workflows are ready for operational use.

Software and AI output do not replace a qualified accountant, tax adviser, lawyer or other appropriate professional. No statutory tax-filing capability or regulatory certification is offered by this description. People remain responsible for checking records and approving financial actions.

14. Infrastructure and ongoing care

When infrastructure or ongoing care is included, the written scope defines hosting, account ownership, support, maintenance, backups, recovery targets and resource limits. A demonstration or marketing example does not establish a service level or a successful recovery test. Additional resources and changes follow the approval process in that agreement.
